1. About Us And These Terms
1.1 Film Unit Car is a trading name of Alight Travel Ltd, a company registered in England and Wales under company number 17094672, with its registered office at 11 Old Bond Street, Mayfair, London W1S 4PN. Our VAT number is GB 520 7747 93. In these terms, "we", "us" and "our" mean Alight Travel Ltd trading as Film Unit Car.
1.2 "You" means the production company or other business that makes a booking with us.
1.3 We work with businesses only. By making a booking, you confirm that you are acting in the course of a business and not as a consumer.
1.4 These terms apply to every booking. They take priority over any terms printed on or referred to in a purchase order, supplier form or other document you send us, unless we agree otherwise in writing.
1.5 If we sign a separate supplier agreement with you for a production, that agreement takes priority over these terms where the two conflict.
1.6 If you book on behalf of another business, you confirm that you have its authority to do so and that it accepts these terms.
2. Quotes, Pencils And Bookings
2.1 We quote against your schedule: dates, unit base, call times, locations and vehicle requirements. A quote is valid for 30 days unless it says otherwise.
2.2 You can pencil dates with us free of charge. A pencil is a provisional hold, not a confirmed booking.
2.3 If another client asks for a date you have pencilled, we will offer you first refusal. If you have not confirmed the date within 24 hours of our request, we may release it.
2.4 A booking is confirmed only when we confirm it to you in writing. Email counts as writing.
2.5 We may ask for a purchase order number before the first booked day, and our invoices will quote it. A missing or late purchase order does not affect your obligation to pay for services we have provided.
2.6 We may ask for payment in advance, or a deposit, before confirming a booking, particularly for new clients and one-off bookings.
3. Day Rates, Overtime And Transfers
3.1 Unit days are charged at a day rate for one driver and one vehicle. The day covers up to 12 hours, running from the driver's call time to the driver's wrap, which is when the driver is released after the last drop-off. It includes pre-calls, unit moves, splits and waiting time on set, at unit base and on location.
3.2 The full day rate applies to any booked day, however short. The minimum booking is one day.
3.3 Overtime starts after the 12th hour and is charged at one and a half times the hourly equivalent of the day rate (the day rate divided by 12), per started half hour. A wrap at 12 hours 20 minutes is charged as half an hour of overtime; a wrap at 12 hours 40 minutes is charged as one hour.
3.4 Overtime applies whether the day runs long by schedule or because the unit runs late.
3.5 Your production signs a daily timesheet recording the driver's call and wrap, and the signed timesheet is the basis of our invoice. If a timesheet is not signed on the day, our driver's record is used, subject to your right to query the invoice under clause 5.5.
3.6 For runs of a week or more, we may agree a block rate, held for the length of the block. A block rate assumes the full block is worked; if you shorten a block, we may recalculate the days already worked at our standard day rate.
3.7 Airport, hotel and talent transfers are charged at the fixed price in your quote. We monitor flights, and waiting time beyond the allowance in your quote may be charged.
4. Expenses
4.1 Our rates exclude expenses. The following are charged in addition, at cost, with receipts wherever a receipt is issued, and itemised on the invoice against the day they were incurred:
- fuel, or mileage where your quote provides for it;
- parking, tolls, ULEZ and congestion charges;
- studio and location passes and permits;
- accommodation and per diems on away days; and
- any other cost approved by your production.
4.2 Where a booking requires our driver to stay away overnight, or where the time between wrap and the next call does not allow safe travel home and adequate rest, you will provide or pay for accommodation of a reasonable standard near the location, plus per diems.
4.3 If a penalty charge notice results from our driver following your instruction to stop, wait or park where suitable parking is not available, we may recharge it to you at cost.
5. Invoicing And Payment
5.1 We invoice weekly in arrears, with signed timesheets and receipted expenses attached.
5.2 Invoices are payable within 14 days of the invoice date.
5.3 Our prices exclude VAT, which is added at the applicable rate.
5.4 We invoice in pounds sterling, or in US dollars where agreed. Invoices must be paid in the currency shown, in full and without deduction or set-off. Any bank or currency conversion charges are paid by you.
5.5 If you want to query an invoice, tell us within 7 days of the invoice date and explain the query. Any undisputed amount must still be paid by the due date.
5.6 If an invoice is not paid on time, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. After giving you notice, we may also suspend further services until all overdue invoices are paid.
6. Changes
6.1 Changes to dates, call times, pickups, locations or vehicles should come from your production office or another authorised member of your production team. We will accommodate changes wherever we can, and a change may affect the charges.
6.2 On the day, our driver will follow reasonable instructions from your authorised production team, provided they are safe and lawful.
7. Cancellation
7.1 You can cancel a confirmed day free of charge until the call sheet for that day is issued.
7.2 Once your production has issued a call sheet, movement order or unit list that includes our driver or vehicle for a day, the full day rate is payable for that day, whether the day goes ahead, is cancelled or is stood down, including for weather.
7.3 Moving a confirmed day to another date counts as cancelling the original day and booking the new one.
7.4 Transfers and other bookings that do not appear on a call sheet can be cancelled free of charge until 24 hours before the booked pickup time. After that, the full charge applies.
7.5 Pencils can be released at any time without charge.
7.6 Where we have booked a vehicle or service from a partner operator for you, such as a crew coach, technical vehicle, trailer or location facility, the partner's cancellation charges apply to that item in place of this clause. We will show them in your quote.
7.7 To cancel, email bookings@filmunitcar.com. If you cancel by phone, please confirm by email the same day; the cancellation takes effect from the time you told us.
7.8 If we cancel a confirmed day for any reason other than an event outside our control, you will not be charged for that day, and we will make every reasonable effort to provide a replacement driver or vehicle.
8. Drivers, Hours And Safety
8.1 Our drivers are enhanced DBS checked, hold the licences required for the vehicles they drive and the work they do, and work under signed confidentiality agreements.
8.2 We aim to keep the same driver and vehicle for the length of a booking, but may substitute a driver or vehicle of an equivalent standard when needed.
8.3 We plan every booking within the legal limits on driving and working time, and with enough rest between shifts for our drivers to work safely.
8.4 If a schedule would take a driver beyond those limits, or beyond what we reasonably judge to be safe, we will provide a relief driver where we can, charged at our day rate as an additional driver, or end that day's service at that point without liability to you.
8.5 Passengers must wear seatbelts, must not smoke or vape in our vehicles, and must follow the driver's safety instructions. Passenger numbers and luggage must stay within the vehicle's capacity.
8.6 Our driver may refuse to carry anyone who is violent, abusive or intoxicated to a degree that makes the journey unsafe.
8.7 Animals, other than assistance dogs, travel only by prior agreement and with their handler.
9. Children And Chaperones
9.1 Please tell us in advance when anyone under 18 will travel with us.
9.2 You are responsible for arranging any chaperone, parent or guardian that the law or your production's safeguarding policy requires, and for making sure they travel with the child where required.
9.3 Our drivers do not act as chaperones.
9.4 We provide child seats and booster seats on request, with notice.
10. Confidentiality
10.1 We treat scripts, schedules, call sheets, locations, cast and crew details, and anything seen or heard in our vehicles as confidential, and use them only to deliver your bookings.
10.2 Our drivers do not photograph, film or record your production, cast or locations, do not post about them, and do not approach talent for photographs or autographs.
10.3 Scripts, sides or other confidential material left in a vehicle are secured and returned directly to your production office, not handed to anyone else.
10.4 We will sign your production's non-disclosure agreement on request. Where it conflicts with this clause, your agreement applies.
10.5 We may list your production in our credits once it has been publicly released, unless your non-disclosure agreement or written instructions say otherwise.
11. Studios, Locations And Our Vehicles
11.1 You are responsible for arranging access, passes, unit base parking and any permits our vehicles need, and for telling us about site rules. We will supply driver and vehicle details for security clearance when asked.
11.2 Our drivers follow studio and location rules, including those on vehicle movements, parking and noise, and instructions from your locations and security teams.
11.3 Our vehicles are production transport, not picture vehicles. Without our prior written agreement, which may carry a separate charge, they must not be filmed or appear on camera, be used as a set or location, be dressed, or be fitted with equipment or rigging.
11.4 You are responsible for loss of or damage to our vehicles caused by your cast, crew, passengers or goods, beyond fair wear and tear, including the cost of repair and loss of use while the vehicle is off the road.
11.5 Where a vehicle needs specialist cleaning, for example after special effects make-up, stage blood, costume dye, mud or animals, the cleaning is charged at cost.
12. Equipment, Wardrobe And Goods
12.1 Equipment, wardrobe, props and other goods travel at your risk, and you are responsible for insuring them.
12.2 You must make sure goods are properly packed and secured for transit, within the vehicle's load limits, and safe and lawful to carry.
12.3 Loading and unloading heavy or specialist equipment is your responsibility unless we agree otherwise.
12.4 We do not carry firearms (including deactivated and prop firearms), ammunition, pyrotechnics or hazardous materials unless we have agreed to do so in writing before the booking.
12.5 We may refuse to carry anything we reasonably consider unsafe or unlawful.
13. Partner Operators And Insurance
13.1 We may use carefully selected, licensed partner operators to supply vehicles and drivers, including additional cars, crew coaches, technical vehicles, trailers and location facilities. We remain your single point of contact, and all charges come through our invoice.
13.2 Every vehicle used on a booking is covered by hire and reward motor insurance appropriate to the work, and certificates of insurance are available on request.
14. Liability
14.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
14.2 Subject to clause 14.1, we are not liable for:
- lost filming or shooting time;
- production delay, schedule overruns or reshoots;
- the cost of cast, crew, equipment or facilities left waiting;
- loss of profit, revenue, business, goodwill or opportunity; or
- any indirect or consequential loss.
14.3 We plan every journey to be in position before call, but we are not liable for delay caused by traffic, road closures, weather, accidents, police or security instructions, studio or location access, or other circumstances outside our control.
14.4 Subject to clause 14.1, our total liability to you in connection with any booking is limited to the total charges for that booking.
15. Events Outside Our Control
15.1 We are not liable for any failure or delay in providing our services caused by events outside our reasonable control, including severe weather, road closures, accidents, industrial action, civil unrest, government action or restrictions, and failures by suppliers that are not our fault.
15.2 If this happens, we will tell you as soon as we can and do what we reasonably can to keep your production moving.
15.3 This clause does not affect your obligation to pay for services we have provided, or charges due under clause 7.
16. Personal Data And Complaints
16.1 We handle personal data in line with our Privacy and Cookies Policy. Where you send us details of cast, crew or other passengers, you confirm that you are entitled to share them with us for the booking.
16.2 If something has not gone right, tell us at bookings@filmunitcar.com and we will look into it promptly.
17. General
17.1 These terms, together with our quote, our written booking confirmation and any agreement under clauses 1.5 and 10.4, form the whole agreement between us for a booking. Any change must be agreed in writing.
17.2 We may subcontract any part of our services and remain responsible for them.
17.3 If any part of these terms is found to be unenforceable, the rest remains in effect.
17.4 If we do not enforce a right straight away, we can still enforce it later.
17.5 No one other than you and us has any right to enforce these terms.
17.6 Notices under these terms may be given by email: booking matters to bookings@filmunitcar.com, invoices and payments to accounts@filmunitcar.com, and legal notices to legal@filmunitcar.com.
17.7 We may update these terms from time to time. The version published when your booking is confirmed applies to that booking.
17.8 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
